You may have heard it somewhere, the old Companies Code (W.Venn.) was replaced by the Companies and Associations Code (WVV).
The articles of association of many existing companies and associations are still drafted today under the old Companies Code.
The deadline for the conformation of the articles of association of existing companies and associations is January 1, 2024, which means that on de this date the articles of association of all existing companies and associations must have been adapted to the Companies and Associations Code, including these of general partnerships (VOF) and limited partnerships (CommVs).
Partnerships are also corporations, so they are also subject to the Companies and Associations Code so that the conformation by January 1, 2024 also applies to partnerships.
If you don't have a specific reason to wait, we recommend that you don't delay the conformation any longer and get to work on this without delay.
The articles of association of your VOF, CommV or partnership can be amended privately, which means that the intervention of a notary is not required.
